Corporate Legal Associate (2nd – 4th Year)

About the Role

Latham & Watkins LLP is seeking an exceptional Corporate Associate with 2 to 4 years of experience in cross-border mergers and acquisitions, capital markets, and private equity transactions.

Key Responsibilities

• Draft and negotiate principal transaction documents (merger agreements, stock purchase agreements, disclosure schedules).
• Coordinate and manage due diligence processes and workstreams across multidisciplinary teams.
• Advise corporate clients, founders, and private equity sponsors on governance, regulatory filings, and disclosure obligations.
• Collaborate closely with partners on high-stakes international corporate transactions.

Qualifications

• J.D. from an accredited U.S. law school with outstanding academic credentials.
• Active member in good standing of the New York State Bar.
• 2-4 years of top-tier corporate legal associate experience.
• Strong commercial instincts and client-facing communication skills.
